The agreement between your business and QUAN when you use OneSuite. We have kept it as short as it can be while still saying everything that matters.

01 About these terms
These terms are an agreement between QUAN Technologies (“QUAN”, “we”) and the business that uses OneSuite (“you”). By creating an account or using OneSuite, you accept them on behalf of that business, and confirm that you are authorised to do so.
If your business has signed an order form or a separate agreement with us, that document takes priority where it differs from these terms.
These terms, together with the privacy policy and the acceptable use policy, are published in accordance with the Information Technology Act 2000 and the rules made under it.
02 The service
OneSuite is a web-based business suite: fourteen departments on one dashboard, configured for your industry. We provide it as a hosted service; you do not install or own a copy of the software.
We improve OneSuite continuously, which means features change. We will not materially reduce the core functionality of a department you rely on during a paid term without telling you in advance.
03 The free first year
OneSuite is free for the first twelve months from the day you go live — the day your workspace is switched on for your people, not the first conversation and not while we are still configuring it. There is no licence fee, and every department is included.
Nothing is charged automatically when the year ends. Before it does, we will send you a quote for continuing. If you do not accept it, you can export your data and leave — see your data.
Costs charged by third parties you choose to connect — WhatsApp Business messaging, SMS, payment-gateway fees and the like — are not part of the free year and are payable to those providers.
04 Accounts and access
You decide who in your business gets an account and what each person can see, edit and approve. You are responsible for what happens under your accounts, for keeping sign-in credentials confidential, and for removing access when someone leaves.
We strongly recommend turning on multi-factor sign-in for everyone. Tell us straight away at connect@quan.co.in if you suspect an account has been compromised.
05 Approval before action, and AI output
OneSuite’s AI investigates and drafts; it does not send, pay or change anything until a person with the right role approves it. The decision to approve is yours.
AI output can be incomplete or wrong. Check drafts before approving them. OneSuite is not a substitute for professional tax, legal, accounting or financial advice, and we are not responsible for the consequences of an action your business approved.
06 Your data
Your business owns the data it puts into OneSuite. You give us permission to host, process and display it only so far as we need to provide the service to you. We process it as your Data Processor under the DPDP Act, on your instructions and as set out in the privacy policy.
You are responsible for having a lawful basis — consent or a legitimate use — for the personal data you put into OneSuite, and for the notices you give the people it describes.
You can export your data at any time, in standard formats, at no charge. When your subscription ends, you have 90 days to export it; after that it is deleted from the live system within 30 days and is gone from backups within a further 35 days, as the privacy policy describes.
07 Acceptable use
You must use OneSuite lawfully and in line with the acceptable use policy, which forms part of these terms. We may remind you of it from time to time, and at least once a year.
08 Fees and taxes
After the free first year, fees are as set out in the quote you accept. Fees are exclusive of GST and other applicable taxes, which are added to invoices.
Invoices are payable within 15 days of issue. If an invoice remains unpaid 30 days after it falls due, we may suspend access after giving you written notice — your data is not deleted during a suspension.
09 Intellectual property
OneSuite — the software, the industry configurations, the designs and the documentation — belongs to QUAN or its licensors. These terms give you a right to use it for your business while your subscription lasts; they do not transfer ownership of it.
If you send us suggestions, we may use them to improve OneSuite without owing you anything for them.
10 Third-party services
OneSuite can connect to services we do not run — WhatsApp, payment gateways, bank feeds, government portals such as GSTN. Their own terms apply to your use of them, and we are not responsible for their availability or for what they do with data you send them.
11 Availability and support
We aim to keep OneSuite available 99.5% of the time in each calendar month, excluding planned maintenance, which we schedule outside Indian business hours and announce in advance where we can.
Support is available by email, phone and WhatsApp during Indian business hours.
12 Confidentiality
Each of us will keep the other’s confidential information confidential, use it only for the purposes of this agreement, and share it only with people who need it and are bound to keep it confidential — except where the law requires disclosure.
13 Warranties and disclaimers
We will provide OneSuite with reasonable skill and care. Beyond that, and to the extent the law allows, OneSuite is provided “as is”: we do not promise that it will be uninterrupted, error-free, or suitable for every purpose.
14 Limitation of liability
Neither of us is liable to the other for indirect or consequential loss, or for loss of profit, revenue, goodwill or data that could have been avoided by exporting or backing it up.
Our total liability arising out of or in connection with these terms in any twelve-month period is limited to the fees you paid us in that period, or ₹10,000 if that is greater.
Nothing in these terms limits liability for fraud, or any other liability that cannot be limited under Indian law.
15 Indemnity
You will compensate QUAN for losses arising from third-party claims caused by data you put into OneSuite without the right to do so, or by your breach of the acceptable use policy.
16 Suspension and termination
You can stop using OneSuite at any time. During a paid term, fees already paid are not refunded unless the quote you accepted says otherwise.
We may suspend or end your access if you seriously breach these terms and, where the breach can be put right, you have not done so within 15 days of our notice. We may act immediately where the law requires it or where continued access puts other customers or the service at risk.
Whoever ends the agreement, you keep the right to export your data for 90 days afterwards, unless the law prevents it.
17 Governing law and disputes
These terms are governed by the laws of India. If a dispute arises, we will both first try in good faith to settle it by discussion for 30 days. If that fails, the courts at Mumbai, Maharashtra have exclusive jurisdiction.
18 General
- Changes: we may update these terms. We will give OneSuite customers at least 30 days’ notice by email of any change that materially affects them; continuing to use OneSuite after that means you accept the change.
- Force majeure: neither of us is liable for delay or failure caused by events beyond reasonable control.
- Assignment: you may not transfer this agreement without our consent; we may transfer it to a successor to our business.
- Severability: if any part of these terms is found unenforceable, the rest continues to apply.
- Entire agreement: these terms, the policies they refer to and any order form are the whole agreement between us about OneSuite.
